Terms of Service

1. The service provider

SettleMeNow is an online service (SaaS) provided by Francesco Pintus, an individual, reachable at info@settlemenow.com. In this text, "we" or "the provider" refer to Francesco Pintus as the operator of the SettleMeNow service.

2. Acceptance of these terms

By creating an account, purchasing a plan, or using SettleMeNow in any way, you fully accept these Terms of Service and our Privacy Policy. If you do not accept them, please do not use the service.

3. Description of the service

SettleMeNow is a platform that lets non-profit organizations and small businesses collect, manage, and approve payment requests to vendors and expense reimbursements from employees and volunteers, through a dedicated workspace.

4. Account and workspace

Purchasing a plan creates a dedicated workspace and an administrator user. The administrator can create additional users with different roles (approver, payer, viewer), each with specific permissions within the workspace. You are responsible for keeping the login credentials of all users you create or invite confidential, and for all activity carried out through your workspace.

5. Plans, pricing and payment

Subscription payments are handled through Stripe Managed Payments. Under this arrangement, Stripe acts as the merchant of record: Stripe directly handles invoicing, applies local VAT/taxes, and issues the related tax documentation for your subscription purchase. The price shown at checkout is the amount actually charged, subject to taxes automatically applied by Stripe based on your country.

6. Duration, renewal and cancellation

Subscriptions renew automatically at the end of the chosen period, unless cancelled. You can cancel your subscription at any time from the management panel (Stripe Customer Portal): cancellation takes effect at the end of the period already paid for, with no refund for the remaining time. At the end of the period, the workspace is suspended and its data is handled as described in Article 8.

7. Acceptable use

By using SettleMeNow, you agree not to:

• Upload false, fraudulent documents or information, or information related to unlawful activities;
• Use the service for money laundering, fraud, or violation of tax regulations;
• Upload offensive, defamatory content, or content that infringes the rights of third parties (including copyright);
• Attempt to access workspaces or data belonging to other customers without authorization;
• Use the service in a way that compromises its security or availability for other users.

We reserve the right to suspend or close workspaces that violate these conditions, notifying you by email whenever reasonably possible.

8. Uploaded data and retention

You are solely responsible for the accuracy of the data entered into your workspace (including IBANs, amounts, requester data) and for the lawfulness of processing it with respect to your vendors, employees and volunteers. When a workspace is closed (voluntary cancellation or non-renewal), all associated data and documents are permanently deleted within 90 days. If you wish to export your data before closure, contact us at the address given in Article 1.

9. Service availability

We strive to keep the service available and functioning, but we do not guarantee that it will be free of interruptions, malfunctions or downtime for maintenance. We are not liable for damages resulting from service interruptions due to causes beyond our reasonable control (e.g. hosting or Stripe outages, or network connectivity issues).

10. Limitation of liability

To the maximum extent permitted by applicable law, SettleMeNow is provided "as is". We are not liable for indirect damages, data loss, lost profits, or business interruption arising from the use or inability to use the service, except in cases of intent or gross negligence.

11. Changes to the service and these terms

We may update these Terms or modify the service's features over time. In case of material changes, we will notify you with reasonable notice by email or via an in-app notice. Continued use of the service after such notice constitutes acceptance of the changes.

12. Governing law and jurisdiction

These Terms are governed by Italian law. For any dispute relating to the service, if you are a consumer, the court of your place of residence will have jurisdiction where mandatorily provided by applicable law; in all other cases, the competent Italian court will have jurisdiction under ordinary legal rules.
